Acceptance of terms
If you use the site or hire us, these terms apply. If you are acting for a business, you confirm you are allowed to accept them for that business.
You must be at least 18 years old, or the age of majority where you live, to request or purchase services. If you use the website or services on behalf of an organization, you represent that you have authority to bind that organization.
If you do not agree to these terms, do not use the website or purchase services.

Our services
We provide planning and visual concept documents. We do not provide architecture, engineering, permitting, construction, contracting, financing, or code certification.
Irwin Space provides design planning and visual concept services for interiors, displays, and small creative projects. Services may include consultations, design boards, layout concepts, visual references, planning notes, and related digital deliverables.
Deliverables are conceptual and informational. They are not construction documents, permit sets, engineering drawings, architectural plans, professional certifications, or a substitute for qualified licensed professionals. You are responsible for engaging qualified professionals where required for construction, permitting, electrical, structural, safety, code, or installation decisions.

Quotes, scope, and availability
Every project starts with a quote or agreed scope. Larger or combined work is priced separately before work begins.
Published package prices are fixed for the listed package scope. Custom scopes, multiple rooms, combined services, extra concepts, rush work, or additional revisions may require a written quote before work begins.
A project begins only after the scope, price, payment terms, and timeline are confirmed. Quotes are valid for the period stated in the quote. We may decline or cancel work that is outside our services, unavailable, unlawful, unsafe, or unsuitable for our studio.

Payments and invoices
No payment is taken through the quote form. If you approve a scope, payment terms will be included in the quote or invoice.
Payment amounts, due dates, deposit requirements, accepted payment methods, taxes, and any late payment terms will be stated in your quote or invoice. Work may not begin until any required deposit or upfront payment is received.
Payments may be collected through secure third-party invoice or checkout services. We do not store full payment card numbers on our own systems. You agree to provide current, accurate billing and contact information.

Client responsibilities
Good planning depends on accurate information. You are responsible for giving us measurements, goals, constraints, and feedback on time.
You agree to provide accurate information, timely feedback, photos, measurements, references, access details, deadlines, and any other materials needed for the agreed scope. Delays or inaccurate information may affect timelines, quality, or pricing.
You are responsible for reviewing deliverables before using them and for confirming that any implementation is suitable for your space, budget, safety needs, and applicable laws.

Delivery and revisions
Deliverables are digital. Included revisions are limited to what the quote or package says.
Digital delivery, cancellation, revision, and refund details are governed by our Refund, Cancellation and Delivery Policy.
Unless a quote says otherwise, deliverables are provided by email, file link, PDF, image, or similar digital method. Included revisions must be requested within the review window stated in the quote or policy.

Intellectual property
After full payment, you can use the final deliverables for your own project. We keep ownership of our studio methods, templates, and underlying work process.
After full payment, you receive a non-exclusive license to use the final deliverables for the specific project described in the agreed scope. You may share deliverables with contractors, vendors, installers, or other professionals involved in that project.
Irwin Space retains ownership of its pre-existing materials, templates, methods, working files, drafts, unused concepts, and studio processes. You may not resell, sublicense, publish as stock materials, or use deliverables for unrelated projects without written permission.

Portfolio use and confidentiality
We respect private project information. We may reference non-confidential work unless you ask us not to in writing.
We may use completed, non-confidential work for portfolio, marketing, internal training, or case-study purposes unless you request otherwise in writing before or during the project. We will not intentionally publish sensitive personal, financial, or private address details in portfolio materials.
If your project involves confidential information, tell us before sending it so we can decide whether a separate written confidentiality agreement is needed.

Our collection and use of personal information is described in our Privacy Policy. Service-related emails, calls, or messages may be sent as needed to quote, schedule, deliver, invoice, or support your project.

Prohibited uses
Please do not misuse the site, impersonate others, scrape content, or use our work unlawfully.
You may not use the website or services for unlawful, fraudulent, harmful, infringing, harassing, or abusive purposes. You may not attempt to interfere with the website, bypass security, scrape or copy site content at scale, impersonate another person, submit false information, or use deliverables in a way that violates third-party rights or applicable law.

No guarantees
We aim to provide useful planning documents, but we cannot guarantee project outcomes, approvals, costs, availability of products, or construction results.
The website and services are provided on an as-is and as-available basis. To the fullest extent allowed by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
We do not guarantee that any concept will satisfy permitting authorities, landlords, contractors, vendors, code requirements, budgets, timelines, resale values, or personal preferences.

Limitation of liability
Our liability is limited to the amount you paid for the specific service, except where the law does not allow that limit.
To the fullest extent allowed by law, Irwin Space will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost savings, project delays, replacement costs, or implementation expenses.
To the fullest extent allowed by law, our total liability for any claim related to a service is limited to the amount you paid to us for the specific service giving rise to the claim.

Indemnification
If your misuse of the site, your materials, or your implementation choices create a claim, you are responsible for that claim.
You agree to defend, indemnify, and hold harmless Irwin Space from claims, damages, liabilities, losses, and expenses arising from your violation of these terms, your materials or instructions, your misuse of deliverables, your implementation decisions, or your violation of third-party rights or applicable law.

Cancellations, refunds, and delivery
Our cancellation, refund, and digital delivery rules are posted separately so they are easy to find.
Please review our Refund, Cancellation and Delivery Policy before approving a quote or paying an invoice.

Governing law and disputes
Georgia law applies. If a dispute comes up, contact us first so we can try to resolve it informally.
These terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-laws rules. Before filing a formal claim, both parties agree to make a good-faith effort to resolve the dispute informally for at least 30 days after written notice.
If a dispute cannot be resolved informally, the state or federal courts located in Georgia will have jurisdiction, unless applicable law requires a different forum.
